BIG HUG MUSIC GROUP SCOUT AFFILIATE AGREEMENT

Welcome
Big Hug Music Group is a UK based sync agency working to discover and represent exceptional Human Created music for placement opportunities in television, film, advertising, games, trailers and other media worldwide. The Big Hug Scout Programme gives music fans, playlist makers, creators, students, industry professionals and music discoverers the chance to help us find great artists and earn commission on successful paid referrals. Please read these terms before activating your Scout account.

1. What Is A Scout?
As a Big Hug Scout, your role is to discover artists you genuinely believe in and introduce them to Big Hug Music Group using your personal referral link.
You are joining as an independent Scout. You are not an employee, agent, representative, partner or joint venture partner of BHMG.
Scouts have no minimum targets, required working hours or obligation to undertake any Scout activity and may decide whether, when and how often they participate in the Programme.

2. What Scouts Can And Cannot Do
Scouts may discover artists, share their referral link, promote Big Hug Music Group and encourage artists to submit music.

Scouts may not:
* Negotiate deals
* Collect money
* Sign agreements
* Offer representation
* Guarantee placements
* Promise acceptance
* Commit BHMG to anything
* Make promises about earnings, sync placements or future opportunities

All artist reviews, representation decisions, licensing decisions and commercial agreements are made by BHMG only.

3. Commission
Scouts receive 20% commission on every qualifying paid artist submission successfully completed through their personal referral link.
Commission is calculated on the submission fee actually paid by the artist after any discount, excluding any refunded, disputed or reversed amount.
Commission is payable only where:
* The Scout referral link was correctly used
* The artist submission fee was successfully paid
* The payment has not been refunded, disputed or reversed

A qualifying paid artist submission means a submission fee successfully paid through the Big Hug Music Group website and not later refunded, disputed or reversed.

Approved commissions are normally reviewed and paid monthly, within 30 days of BHMG receiving cleared funds. BHMG cannot guarantee that any Scout will earn commission.

4. PayPal Payments
Scout commission payments are made by PayPal only.
Scouts must provide the correct email address linked to a valid PayPal account capable of receiving payments.
Any PayPal transaction fees, processing fees, currency conversion fees, withdrawal fees, delays, failed payments, account restrictions or other PayPal related issues are the responsibility of the Scout and may reduce the amount the Scout receives. BHMG is not responsible for any issues caused by PayPal or by incorrect PayPal details supplied by the Scout.

5. Referral Tracking
Commission is payable only on referrals successfully tracked through the Scout's unique referral link, or otherwise approved by BHMG in writing.
BHMG will determine referral attribution using its affiliate tracking systems and records.

6. Scout Dashboard
Scouts will be given access to a Scout dashboard or referral area where they can track referral activity and commission status where available, complete their payment profile and update their account information.
Dashboard information is provided for guidance only. BHMG's affiliate tracking systems, payment records and internal records shall remain the final record for referral attribution, commission approval and payment.

7. No Self Referrals Or Connected Projects
Scouts may not earn commission on their own music, their own artist project, any band or project they are part of, or any artist, company or catalogue in which they have a financial, creative, management or ownership interest, unless BHMG approves this in writing in advance.
Scouts may still join the programme if they are artists, musicians, producers, writers, managers, label owners or otherwise involved in music. They simply cannot claim commission on their own or connected submissions unless BHMG has approved it in writing first.

8. Programme Changes
BHMG may change, pause or end the Scout Programme, commission structure, submission fees or programme benefits at any time.
Any changes will not affect valid commissions already earned before the change takes effect.

9. Fraud And Abuse
BHMG may withhold, reverse or refuse commission where BHMG reasonably suspects fraud, self referrals, duplicate referrals, artificial referrals, manipulated transactions, spam, misleading conduct, failure to disclose a connection to a referred artist or project, or any attempt to improperly generate commission.
BHMG's decision on referral abuse, fraud or commission eligibility shall be final.

10. Brand Use
All BHMG names, logos, branding, marketing materials and promotional assets remain the property of BHMG.
Scouts may use approved BHMG materials only for participation in the Scout Programme. Scouts must not misuse BHMG branding, impersonate BHMG staff or make misleading statements about BHMG.

11. Confidentiality And Private Opportunities
Scouts may receive access to BHMG updates, music searches, opportunities, private links, internal communications, promotional materials or other non public information.
Scouts must not share private BHMG information, unreleased opportunities, internal communications, private music searches or non public materials outside the Scout Programme unless BHMG has approved this in writing.

12. Standards Of Conduct
Scouts must communicate honestly, behave respectfully and represent the Scout Programme accurately.
Scouts must not spam people or communities, make misleading claims, damage BHMG's reputation or suggest that they have authority to act on behalf of BHMG.
Scouts must comply with applicable advertising and social media platform rules when publicly promoting BHMG or sharing their referral link.

13. Suspension Or Termination
BHMG may suspend or terminate a Scout account at any time if BHMG reasonably believes the Scout has breached these terms, misused the programme, acted dishonestly or behaved in a way likely to damage BHMG's reputation.
A Scout may leave the programme at any time.
Any valid commissions earned before termination and not subject to refund, dispute, reversal, fraud review or breach of these terms will remain payable.

14. Tax
Scouts are responsible for any tax, reporting obligations or liabilities arising from commission payments they receive.

15. Liability
Scouts participate in the Scout Programme at their own discretion.
BHMG shall not be liable for indirect losses, loss of profits, loss of opportunity, reputational damage or unauthorised statements made by Scouts.
Nothing in this Agreement excludes or limits any liability that cannot lawfully be excluded or limited.

16. Data Protection
Personal information collected as part of the Scout Programme will be processed in accordance with the BHMG Privacy Policy.
BHMG may process Scout personal information for purposes connected with administering the Scout Programme, managing Scout accounts, tracking referrals, communicating with Scouts and processing commission payments.

17. Electronic Acceptance
These terms may be accepted electronically.
BHMG may keep records of acceptance, including name, email address, country, IP address, date and time of acceptance, and the agreement version accepted.

18. General
This agreement is the entire agreement between BHMG and the Scout in relation to the Scout Programme.
If any part of this agreement is found to be invalid or unenforceable, the rest of the agreement will continue to apply.
Any failure by BHMG to enforce a right under this agreement does not mean BHMG has waived that right.

19. Governing Law
This agreement is governed by the laws of England and Wales.
